These Terms & Conditions, Privacy & Data Use Policy ("Agreement") constitute a legally binding agreement between you ("Customer," "you," or "User") and Navax Global Trade LLC, a Pennsylvania limited liability company doing business as Navax Global Trade ("Navax Global Trade," "Company," "we," "us," or "our"). This Agreement governs your access to and use of navaxglobaltrade.com, any associated storefronts, marketplaces, applications, and services (collectively, the "Services"), including any purchase, account registration, or participation in Company programs such as The Hunt Creator Program. PLEASE READ THIS AGREEMENT CAREFULLY. IT CONTAINS IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, INCLUDING LIMITATIONS OF LIABILITY AND A BINDING ARBITRATION AND CLASS ACTION WAIVER PROVISION.

1.Acceptance of Terms

By accessing, browsing, registering an account with, or purchasing any product or service from Navax Global Trade LLC (DBA Navax), you acknowledge that you have read, understood, and agree to be bound by this Agreement in its entirety, including all policies incorporated herein by reference. If you do not agree to these terms, you must immediately discontinue use of the Services and refrain from making any purchase.

You represent and warrant that you are at least 18 years of age, or the age of majority in your jurisdiction, and possess the legal authority to enter into this Agreement. If you are accessing the Services on behalf of a business or other entity, you represent that you have the authority to bind that entity to this Agreement.

Navax Global Trade reserves the right, in its sole discretion, to modify, amend, or replace any portion of this Agreement at any time. Material changes will be posted with an updated Effective Date. Your continued use of the Services following any such change constitutes your binding acceptance of the revised Agreement. It is your responsibility to review this Agreement periodically.

Navax Global Trade further reserves the right to refuse service, terminate accounts, cancel orders, or restrict access to the Services, at its sole discretion, for any reason, including suspected fraud, abuse, violation of this Agreement, or conduct Navax Global Trade deems harmful to its business, other customers, or third parties.

2.Products & Pricing

All products offered through the Services are sourced exclusively from authorized distributors and suppliers maintained within Navax Global Trade's vetted wholesale network. Navax Global Trade makes commercially reasonable efforts to ensure product descriptions, images, and specifications are accurate; however, Navax Global Trade does not warrant that product descriptions, images, pricing, or other content available through the Services are accurate, complete, reliable, current, or error-free.

Pricing. All prices are stated in U.S. Dollars and are subject to change without notice. Navax Global Trade reserves the right to modify or discontinue pricing, promotions, discounts, and product availability at any time, at its sole discretion, without liability to you. In the event a product is listed at an incorrect price due to typographical, technical, or supplier-related error, Navax Global Trade reserves the right to refuse or cancel any order placed for that product, whether or not the order has been confirmed and payment received. If payment has already been charged, Navax Global Trade will issue a full refund for the affected item.

Availability. Product availability is not guaranteed and may change due to supplier constraints, inventory fluctuations, or discontinuation. Navax Global Trade is not liable for any loss or damage arising from a product being unavailable, back-ordered, or discontinued after an order is placed.

Authorized Use. Products purchased through Navax Global Trade are intended for the buyer's own use or lawful resale, as applicable. Buyers engaged in resale are solely responsible for compliance with all applicable laws, manufacturer restrictions, platform policies (including but not limited to Amazon and eBay marketplace policies), and any brand-gating or authorization requirements.

3.Orders & Shipping

Orders are processed and shipped within twenty-four (24) to forty-eight (48) hours of confirmed payment from our Philadelphia, Pennsylvania fulfillment facility, excluding weekends, federal holidays, and circumstances beyond Navax Global Trade's reasonable control. Shipping timeframes are estimates only and are not guaranteed.

Risk of Loss. Title and risk of loss for all products pass to you (the Customer) upon Navax Global Trade's delivery of the product to the shipping carrier. Navax Global Trade is not responsible for lost, stolen, delayed, or damaged shipments once tendered to the carrier; such claims must be directed to the carrier, though Navax Global Trade will reasonably assist in filing claims where feasible.

Shipping Errors. You are responsible for providing accurate and complete shipping information. Navax Global Trade is not liable for non-delivery or misdelivery resulting from incorrect address information provided by the Customer. Reshipment of orders returned due to an incorrect address may be subject to additional shipping charges.

Force Majeure. Navax Global Trade shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, carrier delays, labor disputes, supplier shortages, or governmental action.

4.Returns & Refunds

Unopened and unused products in their original packaging may be returned within thirty (30) calendar days of the delivery date for a refund or exchange, subject to the conditions below.

Return shipping costs are the responsibility of the Customer, except where the returned item is defective, damaged upon arrival, or misshipped in error by Navax Global Trade, in which case Navax Global Trade will cover return shipping and provide a full refund or replacement at Navax Global Trade's discretion.
All returns require prior authorization from Navax Global Trade customer service. Unauthorized returns may be refused or subject to a restocking fee of up to 15%.
Refunds are issued to the original payment method within 5–10 business days of Navax Global Trade's receipt and inspection of the returned item.
Products that are opened, used, missing original packaging, or show signs of damage not attributable to Navax Global Trade or the carrier are not eligible for return or refund.
Certain product categories may be marked as final sale at the time of purchase and are not eligible for return absent a manufacturing defect.

5.The Hunt Creator Program

The Hunt Creator Program ("The Hunt") is an optional affiliate/commission-based program through which approved participants ("Creators") may earn commissions on qualifying, verified sales attributed to their unique referral link, code, or account.

Commission Payment. Commissions are calculated and paid on a monthly basis, in arrears, and are strictly contingent upon: (i) verified attribution of the sale to the Creator's unique tracking identifier through Navax Global Trade's order and analytics systems; (ii) the underlying order not being cancelled, refunded, or subject to a chargeback; and (iii) the Creator's continued compliance with this Agreement and all applicable third-party platform policies (including, without limitation, Amazon Associates, eBay Partner Network, and applicable social media platform terms).

Navax Global Trade reserves the right to withhold, adjust, claw back, or forfeit any commission that is later determined to result from fraudulent activity, self-referral, bot traffic, incentivized clicks, policy violations, or attribution errors. Minimum payout thresholds and payment methods will be disclosed in the Creator's program dashboard or onboarding materials and may be updated by Navax Global Trade from time to time.

No Guarantee of Earnings. Participation in The Hunt does not guarantee any level of sales, traffic, or commission. Navax Global Trade makes no representation regarding potential earnings. Navax Global Trade may modify commission rates, attribution windows, or program terms prospectively upon reasonable notice, and may suspend or terminate a Creator's participation at its sole discretion for violation of this Agreement, applicable platform terms, or conduct that reflects poorly on the Navax Global Trade brand.

Creators are independent contractors, not employees, agents, joint venturers, or partners of Navax Global Trade, and are solely responsible for any tax obligations, including issuance of Form 1099 reporting where required by law, arising from commissions earned.

6.Privacy & Data Use Policy

6.1 Information We Collect

Navax Global Trade collects information you provide directly (such as name, email, shipping address, phone number, and payment information), information collected automatically (such as IP address, browser type, device identifiers, and site usage analytics via cookies and similar technologies), and information generated through your use of the Services (such as order history and, for Creators, referral/attribution data).

6.2 How We Use Your Information

To process, fulfill, and communicate about orders, shipments, and returns;
To provide customer service and respond to inquiries;
To send transactional messages and, where you have separately opted in, marketing communications (including SMS and email) in accordance with our SMS/Email Opt-In Terms;
To detect, investigate, and prevent fraud, abuse, and violations of this Agreement;
To calculate and administer commissions under The Hunt Creator Program;
To comply with legal, tax, and regulatory obligations; and
To improve and analyze the performance of the Services.

6.3 How We Protect & Share Your Information

Navax Global Trade implements commercially reasonable administrative, technical, and physical safeguards designed to protect your personal information against unauthorized access, disclosure, alteration, or destruction. No method of transmission or storage is completely secure, and Navax Global Trade cannot guarantee absolute security.

Navax Global Trade does not sell your personal information to third parties. Navax Global Trade may share information with trusted service providers (such as payment processors, shipping carriers, and platform/analytics providers) solely as necessary to operate the Services, and only under confidentiality and data-protection obligations consistent with this policy. Navax Global Trade may also disclose information where required by law, subpoena, or governmental request, or to protect the rights, property, or safety of Navax Global Trade, its customers, or others.

6.4 Data Retention & Your Rights

Navax Global Trade retains personal information for as long as reasonably necessary to fulfill the purposes described in this policy, comply with legal and tax obligations, resolve disputes, and enforce agreements. Subject to applicable law, you may request access to, correction of, or deletion of your personal information, or opt out of marketing communications at any time, by contacting info@navaxglobaltrade.com.

6.5 Cookies & Tracking Technologies

The Services may use cookies and similar tracking technologies to enable core functionality, remember preferences, and analyze site traffic. You may adjust your browser settings to refuse cookies; however, certain features of the Services may not function properly as a result.

7.Intellectual Property

All content on the Services, including but not limited to the Navax Global Trade name, logo, brand assets, site design, graphics, text, and software, is the property of Navax Global Trade LLC or its licensors and is protected by U.S. and international intellectual property laws. Except as expressly authorized, you may not reproduce, distribute, modify, or create derivative works from any Navax Global Trade content without prior written consent.

Third-party product names, brands, and trademarks referenced on the Services remain the property of their respective owners and are used for identification purposes only; such reference does not imply endorsement, affiliation, or sponsorship unless expressly stated.

8.Disclaimer of Warranties

EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, THE SERVICES AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NAVAX DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. ANY MANUFACTURER WARRANTIES ON PRODUCTS SOLD ARE PROVIDED BY THE RESPECTIVE MANUFACTURER AND NOT BY NAVAX, UNLESS OTHERWISE EXPRESSLY STATED IN WRITING.

9.Limitation of Liability & Indemnification

9.1 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NAVAX GLOBAL TRADE LLC, ITS OWNERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES OR ANY PRODUCT PURCHASED, EVEN IF NAVAX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NAVAX'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO NAVAX IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9.2 Indemnification

You agree to defend, indemnify, and hold harmless Navax Global Trade LLC and its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (i) your violation of this Agreement; (ii) your use or misuse of the Services or any product purchased; (iii) your resale of any product in violation of applicable law or third-party platform policy; or (iv) your participation in The Hunt Creator Program, including any content or representations you make in connection with it.

10.Dispute Resolution, Arbitration & Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles.

Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to this Agreement, the Services, or any product purchased shall be resolved exclusively through final and binding arbitration administered in Philadelphia, Pennsylvania, rather than in court, except that either party may bring an individual claim in small claims court where jurisdictionally appropriate.

Class Action Waiver. YOU AND NAVAX EACH AGREE THAT ANY PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this class action waiver is found unenforceable as to a particular claim, that claim (and only that claim) shall proceed in a court of competent jurisdiction located in Philadelphia County, Pennsylvania, and the parties consent to the personal jurisdiction of such courts.

12.General Provisions

Severability. If any provision of this Agreement is found unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Entire Agreement. This Agreement, together with any policies referenced herein, constitutes the entire agreement between you and Navax Global Trade regarding the Services and supersedes all prior agreements and understandings.
No Waiver. Navax Global Trade's failure to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
Assignment. You may not assign or transfer this Agreement without Navax Global Trade's prior written consent. Navax Global Trade may freely assign this Agreement in connection with a merger, acquisition, or sale of assets.
Independent Contractor Status. Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship between you and Navax Global Trade.
